In connection with the buying, selling and restructuring of companies and in connection with the daily running of companies we provide advice on all aspects of corporate law, including the legislation in respect of limited companies and private companies and the special circumstances concerning partnerships, limited partnerships and other types of companies.
The major part of the Danish business sector is organised as companies. We have substantial expertise in all areas of corporate law and we advise both large groups of companies listed on the stock exchange and companies owned by individuals.
In the initial stage, we advise our clients on choosing corporate form, setting up group structures and forming companies. In this connection, we advise a number of start-up companies in IT, biotech and other growth areas. In addition, we have substantial experience in providing consultancy services in connection with the establishment of foreign companies in Denmark.
In connection with the formation of companies or attraction of investors, we assist in the drawing up of shareholders' agreements.
We provide advice on the setting up of all types of associations, including joint ventures, consortia etc.
Furthermore, we advice on incentive programmes, including share options, warrants, phantom shares and other employee incentives.
Finally, we have assisted a number of the leading companies in this country from formation until flotation.

New Companies Act
The new Danish Companies Act, which entered into force on 1 March 2010, and which merges the Danish Public Companies Act and the Danish Private Companies Act, includes a number of areas of which all companies need to be aware.
For instance, articles of association and rules of procedures may need to be updated to ensure conformity with the Companies Act.
Plesner acts as sounding board in relation to the new Companies Act, including in relation to the specific consequences of the Act for the individual companies.
