Danish Corporate Finance Laws

Most cross-border transactions involving Danish companies are documented and negotiated in the English language. However, as the relevant Danish legislation is written in Danish, the need for common terms of reference arises. To meet this need, we have since 1998 published or updated this publication, which includes English translations of the most important Danish laws and executive orders of relevance to corporate finance transactions, as well as a brief introduction to the subject.

An officient tool for our clients

It is our hope that Plesner Corporate Finance Laws may serve as an efficient tool for our foreign clients in connection with Danish corporate finance transactions.

Whilst this book provides an overview of Danish legislation pertaining to corporate finance, it is no substitute for detailed legal advice in relation to any particular transaction.

The content of this publication is up to date to 1 February 2009. However, as appropriate we have described key provisions of the new Danish Companies Act that was adopted by parliament in May 2009, and which (for most parts) will come into effect on 1 January 2010. An official English translation of the new Companies Act does not exist yet. However, we plan to update this book in electronic form once the new Companies Act has been translated into English.
